Effective date: January 2026

These Terms of Trade govern all services provided by Zonata Limited trading as Link Safety Nets ("we", "us", "the Company" or "our"). By accepting a quotation or instructing us to proceed with services, you ("the Customer") agree to be bound by these terms.

In these Terms of Trade, unless the context otherwise requires:

  • "Equipment" means the safety nets, rigging, fixings, and all associated equipment supplied by the Company.
  • "Hire Period" means the period commencing on the date of installation and ending on the date of removal of the Equipment.
  • "Services" means the installation, hire, and removal of safety net systems as agreed between the parties.
  • "Site" means the location where the Equipment is to be installed as specified in the Quotation.
  • "Quotation" means any quotation provided by the Company to the Customer for the Services.

The Company will provide the Services as set out in the Quotation, which includes:

  • Installation of safety net systems at the Site;
  • Hire of the Equipment for the duration of the Hire Period; and
  • Removal of the Equipment upon completion of the Hire Period.

The Company will use reasonable endeavours to complete installation and removal at the times agreed, but time shall not be of the essence. The Customer must provide safe and unobstructed access to the Site for installation and removal of the Equipment.

Unless otherwise specified in the Quotation, the minimum Hire Period is four (4) weeks from the date of installation. The Customer shall be liable for hire charges for the full minimum Hire Period regardless of when the Equipment is returned or requested to be removed. Hire charges continue to accrue beyond the minimum Hire Period until the Equipment is removed by the Company.

The Customer acknowledges that safety nets are fall arrest systems and must be treated with appropriate care to maintain their integrity and effectiveness.

The Customer must ensure that:

  • No person walks on, stands on, or otherwise applies body weight to the safety nets at any time. The nets are designed solely to arrest falls and are not load-bearing platforms.
  • No heavy items, tools, building materials, debris, or equipment are dropped, thrown, or placed onto the safety nets. Light debris incidental to normal construction activities is acceptable, but accumulated debris must be removed regularly.
  • The Equipment or its fixings are not cut, modified, relocated, or interfered with in any way without the prior written consent of the Company.

The Customer must immediately notify the Company of any damage to the Equipment, any falls into the nets, or any circumstances that may affect the safety or integrity of the Equipment. The Customer is responsible for any damage to the Equipment arising from breach of these obligations and shall be liable for all repair or replacement costs.

All prices quoted are in New Zealand dollars and are exclusive of GST unless otherwise stated. Quotations are valid for thirty (30) days from the date of issue unless otherwise specified.

The Company reserves the right to adjust prices where Site conditions differ materially from those described by the Customer or assumed at the time of quoting. Any variations to the scope of Services requested by the Customer will be charged at the Company's current rates.

Unless otherwise agreed in writing, the following payment terms apply:

  • Charges are payable on completion of installation;
  • Any additional hire charges, beyond the inclusive 4 week hire period, are invoiced monthly in arrears;

Payment is due on the 20th of the month following the date of invoice, unless otherwise agreed in writing.

If payment is not received by the due date, the Company may charge interest on overdue amounts at a rate of 2% per month, calculated daily from the due date until payment is received in full. The Customer shall pay all costs and expenses (including legal costs on a solicitor-client basis and debt collection fees) incurred by the Company in recovering overdue amounts.

The Company may suspend or withdraw Services if any amount remains unpaid for more than fourteen (14) days after the due date.

The Equipment remains the property of the Company at all times and does not become a fixture of the Site or any building. The Customer grants the Company and its agents an irrevocable licence to enter the Site to inspect, maintain, or remove the Equipment at any time.

The Customer acknowledges its obligations under the Health and Safety at Work Act 2015 and must ensure a safe working environment for the Company's personnel while at the Site. The Customer must advise the Company of all Site-specific hazards and safety requirements prior to installation.

To the maximum extent permitted by law, the Company's liability for any claim arising out of or in connection with the Services is limited to the fees paid by the Customer for the Services. The Company shall not be liable for any indirect, consequential, or special loss or damage, including loss of profit, loss of business, or business interruption.

The Customer indemnifies and holds harmless the Company against all claims, losses, damages, costs, and expenses arising from:

  • Any breach of these Terms of Trade by the Customer;
  • Misuse of or damage to the Equipment;
  • Any act or omission of the Customer, its employees, contractors, or agents.

The Customer must maintain adequate insurance to cover all risks associated with the Equipment while it is at the Site, including loss, theft, and damage, and must provide evidence of such insurance to the Company upon request.

Either party may terminate the agreement by giving the other party not less than seven (7) days' written notice. Termination does not affect the Customer's obligation to pay all amounts due up to and including the date of removal of the Equipment, including charges for the minimum Hire Period if applicable.

The Company may terminate immediately if the Customer breaches any material term of these Terms of Trade or becomes insolvent.

If any dispute arises in connection with these Terms of Trade, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved within fourteen (14) days, either party may pursue other remedies available at law.

These Terms of Trade prevail over any terms and conditions of the Customer to the extent of any inconsistency, unless otherwise agreed in writing by the Company.

If any provision of these Terms of Trade is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver by the Company of any breach of these Terms of Trade shall be considered as a waiver of any subsequent breach.

The Company may vary these Terms of Trade at any time by providing written notice to the Customer. Continued use of the Services after notice of variation constitutes acceptance of the varied terms.

These Terms of Trade are governed by the laws of New Zealand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
